Please read these terms carefully before using the Nubiq AI Chat Platform.

1. Acceptance of Terms

By accessing or using the Nubiq AI Chat Platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service. We recommend reading this document carefully before creating an account.

2. Description of Service

Nubiq AI is a software-as-a-service (SaaS) platform that enables businesses to deploy AI-powered conversational agents across multiple channels. The Service includes: • AI chatbot with Retrieval-Augmented Generation (RAG) over your uploaded documents • Multi-channel support: web widget, WhatsApp, Telegram, and Discord • Appointment scheduling, ticket management, and contact collection • Live agent handoff with real-time notifications • Dashboard for conversation management, analytics, and configuration • Document indexing with semantic search (vector embeddings) • Multi-provider AI model routing (Gemini, Qwen, DeepSeek, GLM, MiniMax) The specific features available to you depend on your subscription plan.

3. User Accounts & Responsibilities

To use the Service, you must create an account with a valid email address and a secure password. You are responsible for: • Maintaining the confidentiality of your login credentials • All activities that occur under your account • Ensuring that your account information is accurate and up to date • Notifying us immediately if you suspect unauthorized access to your account You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

The Service is offered under tiered subscription plans (Free, Starter, Professional, Enterprise). Paid subscriptions are billed through Stripe. • Auto-renewal: Paid plans automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. • Cancellation: You may cancel your subscription at any time from your Dashboard → Settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time. • Price changes: We will notify you at least 30 days in advance of any price increase. Continued use after the change constitutes acceptance. • Usage limits: Each plan includes specific limits on messages, documents, agents, and channels. Exceeding these limits may result in throttling or an upgrade prompt. • Taxes: Prices are exclusive of applicable taxes. You are responsible for any taxes that apply in your jurisdiction.

5. Acceptable Use

You agree not to use the Service to: • Transmit, store, or process any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable • Impersonate any person or entity, or misrepresent your affiliation • Upload malware, viruses, or any malicious code (all uploads are scanned by ClamAV) • Attempt to reverse-engineer, decompile, or disassemble any part of the Service • Circumvent rate limits, authentication mechanisms, or security measures • Use automated tools to scrape, crawl, or extract data from the Service beyond the provided API • Resell or redistribute the Service without a written agreement from Nubiq • Use the Service in any way that violates applicable laws or regulations We reserve the right to suspend or terminate access for violations of this policy without prior notice.

6. Intellectual Property

Your data: You retain all ownership rights to the content you upload, including documents, conversation data, and configurations. We do not claim any intellectual property rights over your data. Our platform: The Service, including its source code, design, documentation, branding, and all underlying technology, is owned by Nubiq and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand assets without prior written consent. Feedback: If you provide suggestions, feature requests, or other feedback, you grant us a non-exclusive, royalty-free, worldwide license to use and incorporate that feedback into the Service.

7. Data Processing

We process personal data in accordance with our Privacy Policy (/privacy) and, where applicable, our Data Processing Agreement (/dpa). • Your uploaded documents are processed to generate vector embeddings for AI-powered search and responses. • Conversation data is stored to provide chat history, analytics, and quality improvements. • We use subprocessors to deliver the Service. A current list is available at /legal/subprocessors. For customers subject to GDPR or Chile's Law 21.719, we offer a Data Processing Agreement that complies with applicable data protection regulations.

8. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. Specifically: • The Service is provided on a "best-effort" basis. We do not promise 100% uptime. • Scheduled maintenance windows will be communicated in advance when possible. • We are not liable for downtime caused by factors outside our control, including third-party service outages, network issues, or force majeure events. • Enterprise customers may negotiate a separate Service Level Agreement (SLA) with specific uptime guarantees and remedies.

9. Limitation of Liability

To the maximum extent permitted by applicable law: • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. • In no event shall Nubiq be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the greatest extent permitted by law.

10. Termination

Either party may terminate the relationship at any time: • You may delete your account from Dashboard → Settings at any time. • We may suspend or terminate your access if you violate these Terms, fail to pay, or if required by law. • Upon termination, your right to use the Service ceases immediately. • We will retain your data for 30 days after termination to allow you to export it. After that period, your data will be permanently deleted. • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

11. Governing Law

The Nubiq AI Chat Platform operates globally and serves customers in multiple jurisdictions. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Nubiq's principal place of business is located, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the competent courts of the provider's jurisdiction, unless otherwise required by mandatory consumer protection laws in your jurisdiction.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. • Material changes will be communicated via email or a prominent notice in the Service at least 30 days before they take effect. • Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. • If you disagree with the changes, you may cancel your subscription and delete your account before the effective date. • The "Last updated" date at the top of this page indicates when the Terms were last revised.
